31. MISCELLANEOUS
These Terms and Conditions and any policies or operating rules posted by us on the Site or in respect to the Site constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms and Conditions shall not operate as a waiver of such right or provision. These Terms and Conditions operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms and Conditions is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and Conditions and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms and Conditions or use of the Site. You agree that these Terms and Conditions will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Terms and Conditions and the lack of signing by the parties hereto to execute these Terms and Conditions .
When you connect third-party accounts to the Services, including email, social media, or other platforms ("Connected Accounts"), you authorize Creatorland to access, analyze, and process data from those accounts using artificial intelligence and other automated methods. This processing may include identifying business opportunities, partnerships, brand relationships, contact information, transactional details, and market trends contained within your Connected Account data.
We use the data collected through Connected Accounts, together with data from other users, to create aggregated, de-identified, and derived data products, analytics, and market intelligence ("Platform Insights"). Platform Insights may be made available to third parties, including brands, agencies, advertisers, and other subscribers, through commercial products, dashboards, APIs, or reports. Your identity as a user is not disclosed in Platform Insights; however, information about third-party individuals or entities contained within your Connected Account data (such as names, professional contact details, and business affiliations of brand representatives) may be included. All Platform Insights, derived data, aggregated analytics, and outputs generated by Creatorland from data collected through the Services are the sole and exclusive property of Creatorland. By using the Services and connecting third-party accounts, you grant Creatorland an irrevocable, perpetual, worldwide, royalty-free license to use data from your Connected Accounts for the purposes described in this section and in our Privacy Policy.
You may limit the inclusion of your data in Platform Insights by disconnecting third-party accounts or adjusting your data sharing preferences in your account settings. Opting out does not affect Platform Insights generated prior to your opt-out.
Customer Data and Match-and-Enrich Features. Certain features of the Services let you submit lists of identifiers (such as email addresses, phone numbers, and social media handles) to be matched against, and enriched with information from, our creator database ("Customer Data"). You represent and warrant that, for all Customer Data you submit, you have a lawful basis and all rights, consents, and notices necessary to provide it to us and to have us process it for matching and enrichment, and that your provision and our processing of it will not violate any applicable law (including, where applicable, the GDPR, UK GDPR, CCPA/CPRA, and CAN-SPAM Act) or the rights of any third party. As between you and us, you are the controller of the Customer Data and we act as a processor, processing it only to provide the requested features and on your instructions, in accordance with our Data Processing Addendum https://creatorland.notion.site/Data-Processing-Addendum-38bd96bfcc2580508d4fd98e8ad65913, which is incorporated by reference. We do not retain raw submitted identifiers; they are hashed for matching and then discarded. You agree not to: (a) submit any Customer Data for which you lack a lawful basis or the rights and consents to provide; (b) use any enriched output, or any contact obtained through the Services, to send unlawful, unsolicited, or deceptive communications, or in violation of any anti-spam, telemarketing, data-protection, or anti-surveillance law; or (c) use these features to build, train, or populate a competing database or product. You agree to indemnify, defend, and hold us harmless from any claim arising out of your Customer Data or your use of these features, including any claim that you lacked a lawful basis or the necessary rights or consents, or that the processing violated applicable law or the rights of a third party.
32. COLLABS
What Collabs is and our role. Collabs lets members ("Posters") post paid work for creators ("Creators"), and lets Creators apply, agree terms, deliver, and get paid. When a Poster accepts a Creator, the Poster and Creator form an agreement with each other on the terms shown at acceptance (the "Collab Terms"). Creatorland is not a party to that agreement. We do not employ Creators or act as an agent of either party, except as stated below for payments. We do not guarantee the quality, legality, or results of any work, or that any Collab will be filled or completed.
Payments through Creatorland. By using Collabs, the Creator appoints Creatorland as its limited agent for the sole purpose of receiving payment from the Poster. A Poster's payment to Creatorland counts as payment to the Creator. Payments are processed by Stripe. Creators receive payouts through a Stripe Connect account and must agree to the Stripe Connected Account Agreement. Card details and payout details (such as bank account and identity information) are collected and held by Stripe, not by us.
Eligibility. You must be at least 18 to post, apply to, or be paid for a Collab. Creators must complete Stripe's identity and payout setup before applying. Payouts are currently available to Creators in the United States only. Posters can post from any country with a supported card. We may limit or remove access to Collabs at any time.
Posting. Every Collab is reviewed by our team before it goes live. We may decline or remove any Collab. Requirements a Poster sets (such as platforms, minimum followers, categories, or location) are the Poster's own. Creators may apply without meeting them, and the Poster sees what was missed. If a Collab is edited after a Creator is accepted, that Creator keeps the Collab Terms they accepted.
Prices and fees. Prices are in U.S. dollars, from $10 to $100,000 per Creator. When a Poster accepts a Creator, we charge the Poster's saved card the agreed price plus a Creatorland fee of 10% of the price, plus card processing costs. The total is shown before the Poster confirms. The Creator receives the agreed price less Stripe's payout fee, and less Stripe's monthly active-account fee on their first payout each month. Both fees are shown in the product before you apply. We may change fees for future Collabs by updating these terms or the product.
Payment Held, delivery, and release. After the charge, the payment is held by Creatorland until release. The Creator marks the work delivered and adds a link to it. The Poster then has a review window (currently 2 days) to approve the work or report a problem. The payment is released when the Poster approves it, or automatically when the review window ends with no problem reported. After the Poster approves, the payout is sent right away. If the payment is released because the review window ended, the payout is sent 14 days later. If a Creator's Stripe account is restricted at release, the Creator has 14 days to fix it. If they don't, the Poster is refunded as described below.
Cancellations and refunds. A Creator may cancel an accepted Collab before delivering. If the Creator does not deliver by the Deliver By date, the Poster may cancel and get a refund. Before then, a Poster can only cancel with the Creator's agreement, through our team. When a charged Collab is cancelled or refunded, the Poster gets back the amount charged minus card processing costs, which are non-refundable. If nothing was charged (for example, a declined Collab or a declined card), nothing is owed. Repeated cancellations may limit your access to Collabs.
Problems and disputes. Either party may report a problem through Collabs. While a problem is open, the payment stays held. Our team reviews the Collab, its messages and its delivery, and decides to release the payment, refund it, or refund part of it. We aim to decide within 5 business days and will tell both parties the reason. Our decision covers only what happens to the held payment. It does not limit any claim either party may have against the other. Partial refunds come out of the Creator's share.
Keep payments on Creatorland. If you meet through Collabs, you agree not to ask for, offer, or make payment for that Collab outside Creatorland. This includes any follow-on work for the same Collab. We may suspend accounts that do.
Chargebacks. If a Poster disputes a Collab charge with their card issuer, we may provide the Collab's records to Stripe and the issuer. A Poster who files a chargeback for work they approved or received may lose access to Collabs. We may recover any amount owed to us from future payments.
Taxes. Each party is responsible for its own taxes. Stripe may issue tax forms (such as Form 1099-K) to Creators who meet the reporting thresholds. Creators may need to give Stripe tax information to get paid.
Sponsored content disclosure. Creators must clearly disclose paid or sponsored content as required by law and by each platform's rules, including the FTC Endorsement Guides (for example, #ad or the platform's paid-partnership label). Posters must not ask Creators to hide a paid relationship.
Content and usage rights. Unless the Collab Terms say otherwise, the Creator keeps ownership of the content they create for a Collab. When the Poster pays for a Collab, the Creator grants the Poster a non-exclusive, worldwide, royalty-free license to share, repost, and embed the delivered post on the Poster's own channels, with credit to the Creator. Any other use, such as paid advertising, whitelisting, or editing the content, needs the Creator's separate agreement.
Reviews. After a Collab, each party may leave a 1–5 star review. A review becomes visible when both parties have submitted one, or 7 days after the first. Section 11. Guidelines for Reviews applies.
Notifications. We send Collabs notifications in the app and by email. That includes alerts about new Collabs that fit you (up to 10 per week in the app) and a twice-weekly email summary. You can turn off the summary and alert emails in your email preferences. Messages, applications, and payment updates are part of the service and are always sent.
